to be formed will be a private Company within the

meaning of this Ordinance any two or more persons),

associated for any lawful purpose, provided that they

intend that the Company shall carry on business or

conduct the affairs either wholly er in part in the

Colony or in a Treaty Port, may by subscribing their

names to a memorandum of association and othertise

complying with the requirements in respect of regis-

A definition of "Treaty Ports" would have to be added to clause

241.

In clause 36 (1) dealing with local Register/

- in the 4th. line after the word "Ordinance" add the words "or

that a company is not carrying on husiness or conducting its

affairs either wholly or in part in the Colony or in a Treaty

Fort".

to by the Chief Justice in his judgment still to be dealt with,

namely the difficulty of control.

Section 180 of the Companies (Consolida-

-tion) Act 1908, a section not hitherto introduced inte the Bill, provides for orders made by the Court in England being enforced in Sootland and Ireland and I would suggest that it may be adapted or words to the like effect and brought into force in Shanghai by Order in Council and that the following

newclauso be added to clause 172 of the Bill:-

ultra

172 (2). Any order made by the Court under this

Ordinance may be enforced in the Treaty

Ports, as against any Company registered

under this Ordinance, and as against
